Welcome to RunPledge.com ("RunPledge," "we," "us," or "our"), a fundraiser payment processing platform operated by Oil Chaser LLC, a limited liability company, doing business as (d/b/a) RunPledge and Peacock Powder. These Terms of Service ("Terms") govern your access to and use of our website, services, and features (collectively, the "Platform"), including payment processing via Stripe Connect for donations and pledges. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

We specialize in helping schools, churches, and nonprofits (501(c)(3) or equivalent organizations) run efficient fundraisers. Our Platform integrates with tools like Webflow for websites, GoHighLevel for SMS/email management, Stripe for payments, and N8N for workflow automation. If you're setting up a fundraiser, we're here to make it seamless and compliant.

1. Eligibility and Account Registration

To use the Platform, you must be a representative of a qualified nonprofit organization (e.g., school, church, or 501(c)(3) entity). You agree to provide accurate information about your organization, including its EIN and nonprofit status. We may request documentation verifying your organization's nonprofit status at any time. We reserve the right to verify, suspend, or reject any account that does not meet our criteria or that fails to provide requested documentation upon request.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

2. Services and Tiers

RunPledge offers two service tiers:

• Free Tier: Self-managed fundraising. Processing fees (3.2% + $0.40 per transaction) are deducted from each donation before payout to your organization. You handle your own participant outreach and communications.

Premium Tier: Full-service fundraising. We handle SMS/email campaigns and parent outreach on your behalf. Processing fees and platform fee (up to 10%) are added on top of donations at checkout and paid by the donor—your organization receives 100% of the donated amount. Premium includes a $10 per qualifying participant guarantee. (see Section 4 for details and conditions)

All payments are processed via Stripe Connect. You authorize us to connect your organization's Stripe account and process transactions on your behalf. Organizations are responsible for ensuring their campaigns meet applicable tax-deductibility requirements and qualify for Stripe's nonprofit processing rates. Consult a tax professional for guidance.

3. User Responsibilities

• Compliance: You must comply with all applicable laws, including fundraising regulations, tax laws, and data protection rules (e.g., GDPR, CCPA). For events involving minors, obtain parental consent where required.

• Content and Data: You are responsible for all content uploaded (e.g., CSV rosters with participant/parent info like names, emails, phones). Do not upload sensitive data without consent.

• Events and Powder Use: You handle all event logistics, including safe use of Peacock Powder. We provide Net30 invoices with discounts but are not liable for product issues—refer to Peacock Powder's terms.

• Pledges and Donations: Ensure pledges are voluntary and accurately represented. Use our links for flat or per-lap pledges.

4. Payment Terms

• Fees:

• Payouts: Funds are held in your connected Stripe account and disbursed per Stripe's standard schedule (typically 2-7 business days after the transaction). RunPledge does not hold or control your funds—they go directly to your Stripe account.

• Taxes: You are responsible for all applicable taxes on funds raised. We do not provide tax advice—consult a professional.

• $10/Participant Guarantee (Premium Tier Only): We guarantee your organization nets at least $10 per qualifying participant after the fundraiser concludes.

Conditions (all required): at least 50 qualifying participants; organization stays on Premium for the full campaign; roster uploaded 3 weeks prior to fundraiser kickoff; kickoff call completed; automated parent messaging enabled and not paused, disabled, or altered for the full campaign; campaign run for the full agreed window (does not apply if you cancel or end early). "Campaign close" means the window has ended and all pledges are processed.

Example: 100 qualifying participants sets a $1,000 floor. If your campaign nets $800, RunPledge pays a $200 check.

5. Intellectual Property

All Platform content, including software, designs, and trademarks, is owned by us or our licensors. You grant us a non-exclusive license to use your uploaded data (e.g., rosters) solely for providing services. Do not reproduce or distribute our IP without permission.

6. Liability Limits

We provide the Platform "as is" without warranties. We are not responsible for:

Event outcomes, injuries, or powder misuse.
Donation disputes or tax deductibility.
Data loss or third-party service interruptions (e.g., third-party providers).

Our liability is limited to the fees you paid us in the past 12 months. No indirect, consequential, or punitive damages.

7. Termination

We may suspend or terminate your account for violations or non-payment immediately upon notice. We may also terminate your account at our discretion for any reason with 14 days written notice to your registered email address.

8. Dispute Resolution

These Terms are governed by U.S. law (Utah). Disputes resolved via arbitration in Taylorsville, Utah except for small claims.

9. Changes to Terms

We may update these Terms—check back regularly. Continued use constitutes acceptance.
