Welcome to RunPledge.com ("RunPledge," "we," "us," or "our"), a fundraiser payment processing platform operated by Oil Chaser LLC, a limited liability company, doing business as (d/b/a) RunPledge and Peacock Powder. These Terms of Service ("Terms") govern your access to and use of our website, services, and features (collectively, the "Platform"), including payment processing via Stripe Connect for donations and pledges. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

We specialize in helping schools, churches, and nonprofits (501(c)(3) or equivalent organizations) run efficient fundraisers. We use trusted third-party providers, including Stripe for payment processing, to operate the Platform. If you're setting up a fundraiser, we're here to make it seamless and compliant.

1. Eligibility and Account Registration

To use the Platform, you must be a representative of a qualified nonprofit organization (e.g., school, church, or 501(c)(3) entity). You agree to provide accurate information about your organization, including its EIN and nonprofit status. We may request documentation verifying your organization's nonprofit status at any time. We reserve the right to verify, suspend, or reject any account that does not meet our criteria or that fails to provide requested documentation upon request.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.

2. Services and Tiers

RunPledge offers two service tiers:

• Free Tier: Self-managed fundraising. Card processing fees and a platform fee of 1% + $0.10 per transaction are added on top of the donation at checkout and paid by the donor. Your organization receives 100% of the donated amount. You handle your own participant outreach and communications.

• Premium Tier: Full-service fundraising. We handle email campaigns and parent outreach on your behalf. Card processing fees and a platform fee (10% by default, or as otherwise agreed with RunPledge in writing) are added on top of donations at checkout and paid by the donor. Your organization receives 100% of the donated amount. Premium includes a $10 per qualifying participant guarantee (see Section 4 for details and conditions).

All payments are processed via Stripe Connect. You authorize us to connect your organization's Stripe account and process transactions on your behalf. Organizations are responsible for ensuring their campaigns meet applicable tax-deductibility requirements and qualify for Stripe's nonprofit processing rates. Consult a tax professional for guidance.

3. User Responsibilities

• Compliance: You must comply with all applicable laws, including fundraising regulations, tax laws, and data protection rules (e.g., GDPR, CCPA). For events involving minors, obtain parental consent where required.

• Content and Data: You are responsible for all content uploaded (e.g., CSV rosters with participant/parent info like names, emails, phones). Do not upload sensitive data without consent.

• Events and Powder Use: You handle all event logistics, including safe use of Peacock Powder. We provide Net30 invoices with discounts but are not liable for product issues—refer to Peacock Powder's terms.

• Pledges and Donations: Ensure pledges are voluntary and accurately represented. Use our links for flat or per-lap pledges.

4. Payment Terms

• Fees:

• On every tier, processing and platform fees are added to the donation at checkout and paid by the donor. Your organization receives 100% of the donated amount, with no fees deducted.
• Free Tier: Card processing fees plus a platform fee of 1% + $0.10 per transaction are covered by the donor.
• Premium Tier: Card processing fees plus a platform fee of 10% by default, or as otherwise agreed with RunPledge in writing, are covered by the donor.
• Card processing fees are set by Stripe and may vary, including based on whether your organization qualifies for Stripe's nonprofit pricing.

• Payouts: Funds are held in your connected Stripe account and disbursed per Stripe's standard schedule (typically 2-7 business days after the transaction). RunPledge does not hold or control your funds—they go directly to your Stripe account.

• Taxes: You are responsible for all applicable taxes on funds raised. We do not provide tax advice—consult a professional.

• $10/Participant Guarantee (Premium Tier Only): If your organization is eligible, RunPledge guarantees that your organization nets at least $10 per qualifying participant from a campaign.

• Eligibility. A campaign is eligible only if all of the following are true: (a) your organization was on the Premium plan before the campaign's launch date and remains on it through campaign close; (b) the guarantee is enabled for the campaign; (c) the campaign's roster includes at least 50 participants at campaign close; (d) the campaign's launch date is at least 14 days before its event date; (e) automated parent messaging is not paused or disabled at your organization's request at any time during the campaign (pauses made by RunPledge, including automatic pauses for email delivery problems, do not affect eligibility); and (f) your organization does not cancel the campaign or end it before its event date. Ending a campaign on or after its event date is normal completion and does not affect eligibility.
• Enablement. The guarantee is enabled automatically for every campaign that activates while your organization is on the Premium plan. RunPledge may disable the guarantee for a campaign before that campaign is activated; if it does, you will be told before the campaign goes live. Once a campaign is activated, whether the guarantee applies to it cannot change.
• Qualifying participant. A qualifying participant is a genuine participant on your uploaded roster whose donations received through their own RunPledge pledge page total at least $5.00 at campaign close, after subtracting refunded, disputed and reversed amounts. Donations made to the campaign generally, rather than to a specific participant, do not make any participant qualifying.
• Guarantee amount. The number of qualifying participants multiplied by $10.00, unless a different amount is agreed with RunPledge in writing.
• Net donations. All donations to the campaign collected through the RunPledge platform, including donations to the campaign generally, less refunded amounts, reversed amounts, and amounts subject to a dispute that is open or has been decided against your organization at campaign close. Cash, check and other donations not processed through RunPledge are excluded.
• Campaign close. A campaign closes when collection is complete: when every per-lap or per-unit pledge has had its first charge attempt resolved, or 21 days after the event date, whichever comes first. The guarantee is calculated once at campaign close and is final. Refunds, disputes or other changes after campaign close do not change the result.
• Payment. If net donations are less than the guarantee amount, RunPledge will pay the difference by check within 30 days of campaign close. Before paying, RunPledge may review the campaign and exclude donations or participants under the Exclusions paragraph below. Any exclusion is recorded with the reason for it, and the amount payable is the guarantee amount less net donations, adjusted for those exclusions, and never less than zero. RunPledge may also correct an error in your organization's favor after campaign close.
• Exclusions. Donations made or funded by your organization, its staff or volunteers acting on its behalf, or any person for the purpose of making participants qualify or increasing a guarantee payment, do not count toward qualifying participants or net donations. Participants must be genuine participants in the event. RunPledge may review any campaign before payment and may exclude donations or participants that do not meet these terms.

• Cash and Check Donations. RunPledge's dashboard may allow your organization's administrators to manually log cash or check donations received outside the platform, for your organization's own internal reporting purposes only. RunPledge does not process, verify, or take custody of these funds.

Cash and check donations logged in this manner:

• do not count toward a participant's qualifying raised amount for purposes of the $10/participant guarantee;
• are not included in Net donations as defined in Section 4; and
• do not otherwise affect any fee, guarantee, or payout calculation under these Terms.

RunPledge may, in its sole discretion, make exceptions to this section on a case-by-case basis. Any such exception must be agreed to in writing and does not create an ongoing obligation or set a precedent for any other organization or campaign.

Example: An eligible campaign with 100 qualifying participants has a guarantee amount of $1,000. If its net donations are $800, RunPledge pays the $200 difference by check.

5. Intellectual Property

All Platform content, including software, designs, and trademarks, is owned by us or our licensors. You grant us a non-exclusive license to use your uploaded data (e.g., rosters) solely for providing services. Do not reproduce or distribute our IP without permission.

6. Liability Limits

We provide the Platform "as is" without warranties. We are not responsible for:

• Event outcomes, injuries, or powder misuse.
• Donation disputes or tax deductibility.
• Data loss or third-party service interruptions (e.g., third-party providers).

Our liability is limited to the platform fees RunPledge received from your organization's campaigns in the past 12 months. This limitation does not apply to guarantee payments owed under Section 4.

7. Termination

We may suspend or terminate your account for violations or non-payment immediately upon notice. We may also terminate your account at our discretion for any reason with 14 days written notice to your registered email address.

8. Dispute Resolution

These Terms are governed by U.S. law (Utah). Disputes resolved via arbitration in Taylorsville, Utah except for small claims.

9. Changes to Terms

We may update these Terms—check back regularly. Continued use constitutes acceptance.
